It seems to be saying "if you don't invest now, your initial investment will be diluted by the new money" which is pretty standard. It looks like you have pre-emption rights (ie the right to invest more to maintain your share) which is also pretty standard
If the funding round doesn't succeed, they may be in trouble but can't tell that from the info here

Just incentivising you to invest more and if you don’t you end up ranked pretty lowly for any distribution that may arise in the future from an IPO (hurray) or liquidation (boo).

yes, that does look like a big dilution (depending on the relative sizes of the fundraising)

I see Faction everywhere except underneath recreational skiers
Maybe that's the problem
Don't see many capes sold these days despite the ubiquity of Marvel and DC

Sounds a bit like the endless rounds of "equity for punks" funding in brewdog. Paper shares that remain worthless and unsellable
unless they ever float. Sadly dilution (especially in unlisted companies) rarely done on terms that benefit existing share holders...
Terms of the faction deal certainly suggest they need the new investment to avoid future cash flow issues.

I think a lot of winter sports (at least those mainly Europe-facing) will have been struggling big time this year - obviously corona was a huge issue for them with many of their normal customers not being able to ski, then straight into a period of high energy costs, high inflation + low snow winter which probably had a lot of people re-considering new ski purchases...

OT, but the Brewdog terms are even worse for hobby investors: the shares sold to TSG in 2017 (a 22% stake in Brewdog) guarantee an 18% return per annum (compounding) on IPO or if the company is sold. Only once that is paid do the 'punks' stand to make any money.
