Vail fights to buy Utah ski area

Vail Resorts Inc. has become embroiled in a battle to buy The Canyons ski area in Utah for $110 million from American Skiing Co.
The Broomfield-based resort operator disclosed today it made an offer to pay $10 million more than its previous bid for the ski area, according to a letter written by Vail CEO Rob Katz that the company filed Friday with the Securities and Exchange Commission.

Vail said it had been on the brink of a deal to buy the ski area when American announced it would sell the resort to an affiliate of Talisker Corp.

Vail said it will take legal action against both Talisker and a group called Peninsula Advisors. Vail said it initially pursued the acquisition in conjunction with Peninsula, which later tried to thwart a deal.

Katz said Vail’s latest offer price represents a 10 percent premium to Talisker’s.

"We remain concerned about the ASC board’s lack of engagement with Vail Resorts to ascertain whether a transaction more favorable to ASC could have been reached with our company," Katz wrote.

The financially strapped American Skiing Co. has been selling off all of its ski areas in the past year.

Better terrain & snow, and more opportunity for Vail Inc. to stamp their brand. The Canyons is already established architecturally.
